These Terms & Conditions ("Terms") govern your use of AscendraPay's website, mobile applications, development services and any other service you opt in for. By engaging with AscendraPay, you agree to these Terms. If you do not agree, please refrain from using our services.
Services Provided
AscendraPay specializes in mobile and web application development, consulting, and related technology services. Specific deliverables, timelines, and costs are defined in written agreements or proposals.
Client Responsibilities
Provide accurate and timely project requirements.
Ensure all content, data, and intellectual property shared is legally owned or licensed.
Review deliverables within agreed timelines to avoid project delays.
Maintain the confidentiality of any login credentials provided.
Intellectual Property
Client Content: All content, trademarks, and proprietary material provided by the client remain client-owned.
Work Product: Upon full payment, intellectual property rights for the final deliverables transfer to the client unless otherwise specified.
Company Tools & Frameworks: AscendraPay retains rights to its pre-existing frameworks, libraries, or reusable components.
Payments & Refunds
Milestone Payments: Projects are typically billed on a milestone basis. Payment is due upon completion and approval of each milestone.
Upfront Payments: For certain projects, an upfront payment may be required before work begins.
Refunds: Payments already made for completed milestones or work in progress are non-refundable, as resources and time are allocated once work begins.
Late Payments: Failure to make timely payments may result in suspension or termination of services and may delay project delivery.
Service Warranty
AscendraPay warrants that the final deliverables will substantially conform to the agreed project scope and specifications for a period of 30 days after delivery (the "Warranty Period").
During this Warranty Period, AscendraPay will fix any bugs, errors, or defects at no additional cost, provided they are not caused by:
Misuse or unauthorized modifications by the client.
Third-party tools, hosting, or integrations outside of AscendraPay's control.
Changes in operating systems, devices, or third-party APIs after delivery.
Beyond the Warranty Period, additional support, maintenance, or changes may be offered under a separate agreement.
Confidentiality
Both parties agree to maintain confidentiality of sensitive business or technical information disclosed during the project.
Limitation of Liability
AscendraPay is not liable for indirect, incidental, or consequential damages.
AscendraPay is not responsible for business losses arising from misuse, third-party integrations, or force majeure events.
Maximum liability shall not exceed the total fees paid by the client for the project.
Termination
Either party may terminate services with written notice. The client remains responsible for payment of completed milestones and work in progress up to the termination date.
